1. Service provider identification
Diagonal World Trade SL (hereinafter "VIASHIPS SPAIN"), with Tax ID B72883937 and registered office at Avinguda Diagonal 523, 14H, 08029 Barcelona, Spain.
2. Purpose and scope
These general conditions regulate the use of the viaships.es website and the commercial intermediation services that VIASHIPS SPAIN offers as Authorized Sales Representative for international commodity producers and refineries. Commercial operations are governed by the Full Corporate Offer (FCO) and Sales & Purchase Agreement (SPA) signed between the parties, which shall prevail over these general conditions.
3. Nature of services
VIASHIPS SPAIN acts as commercial intermediary under producer mandate. The information published on the website (products, indicative prices, procedures) is merely informational and does not constitute a binding offer under the Civil Code or Commercial Code. Every transaction is subject to:
- Buyer KYC verification and producer approval.
- Issuance and signature of FCO and SPA.
- Activation of the agreed payment instrument.
- Compliance with applicable international regulations, including sanctions and export controls.
4. User obligations
The user guarantees the truthfulness, accuracy and validity of the data provided through the website forms (in particular ICPO). The user undertakes not to submit speculative inquiries, impersonate identities, or participate in broker chains without written mandate. VIASHIPS SPAIN reserves the right to reject any inquiry without justification.
5. Confidentiality and NCNDA
All information exchanged between the parties in the framework of a potential transaction (including producer identity, credentials, price formulas and banking coordinates) shall be considered confidential and shall be governed by the corresponding NCNDA (Non-Circumvention, Non-Disclosure Agreement) signed by the parties.
6. Limitation of liability
VIASHIPS SPAIN shall not be liable for damages arising from the use of the website, inability to access it, technical failures, or information published by third parties linked from the site. VIASHIPS SPAIN's liability in commercial operations shall be limited to what is expressly stipulated in the corresponding SPA.
7. Modifications
VIASHIPS SPAIN reserves the right to modify these general conditions at any time. Modifications will take effect upon publication on the website.
8. Law and jurisdiction
These conditions are governed by Spanish law. For any dispute arising from their interpretation or execution, the parties submit to the Courts and Tribunals of Barcelona, unless mandatory legal provision states otherwise.
